These Terms & Conditions ("Terms") govern access to and use of The Songai platform, website, applications, products, and services (collectively, the "Platform") operated by Songai Media FZ-LLC ("Songai", "we", "us", or "our").
By accessing, browsing, purchasing from, or otherwise using the Platform, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
1. NATURE OF THE SERVICE
The Platform provides users with access to technology-assisted creative tools and services designed to facilitate the creation, generation, editing, enhancement, personalisation, distribution, and sharing of music, audio, visual content, written content, and related digital experiences ("Content").
The Platform may utilise a combination of: proprietary systems; licensed technologies; machine learning systems; artificial intelligence models; third-party creative infrastructure; human creative input; and editorial workflows.
Songai reserves the right to modify, replace, enhance, or discontinue any underlying technologies, providers, workflows, features, or services at any time without notice.
2. ELIGIBILITY
You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to use the Platform commercially.
By using the Platform, you represent and warrant that: you have legal capacity to enter into these Terms; all information you provide is accurate; and your use of the Platform complies with all applicable laws and regulations.
3. USER SUBMISSIONS
Users may submit prompts, text, stories, names, likenesses, audio, images, videos, lyrics, recordings, creative direction, or other materials ("User Submissions").
You retain ownership of your User Submissions.
By submitting User Submissions to the Platform, you grant Songai a worldwide, non-exclusive, royalty-free, sublicensable licence to: process; reproduce; adapt; modify; display; distribute; store; transmit; and use such User Submissions solely for: operating the Platform; generating Content; improving services; quality assurance; moderation; legal compliance; and marketing where expressly permitted.
You represent and warrant that: you own or control all rights necessary to submit the User Submissions; the User Submissions do not infringe any third-party rights; and you have obtained all required permissions and consents.
4. GENERATED CONTENT
Content generated, produced, curated, or delivered through the Platform ("Generated Content") may include AI-assisted or technology-assisted elements.
Subject to: payment of applicable fees; compliance with these Terms; and any applicable laws or third-party restrictions, Songai grants users a non-exclusive commercial licence to use the Generated Content for lawful personal or commercial purposes.
This licence includes the right to: stream; share; reproduce; display; publish; monetise; and distribute Generated Content.
However, users acknowledge and agree that:
4.1 NO GUARANTEE OF EXCLUSIVITY
Due to the nature of artificial intelligence and machine learning systems, Generated Content may not be unique; similar or identical outputs may be generated for other users; and Songai does not guarantee exclusivity.
4.2 NO GUARANTEE OF COPYRIGHTABILITY
Songai makes no representation or warranty that: copyright protection will vest in any Generated Content; Generated Content will qualify for intellectual property protection in any jurisdiction; or Generated Content will be free from third-party claims.
4.3 EDITORIAL & PLATFORM RIGHTS
Songai reserves the right to: refuse; edit; remove; restrict; or decline distribution of any Generated Content at its sole discretion.
5. COMMERCIAL DISTRIBUTION & MONETISATION
Generated Content may be: distributed to digital streaming platforms; monetised through advertising; incorporated into promotional campaigns; synchronised with visual media; or otherwise commercially exploited by Songai or its partners where permitted by applicable purchase terms, platform settings, or user consent mechanisms.
Users may have the option to designate certain Generated Content as: Private; Non-Distributable; or Non-Commercial.
PRIVATE CONTENT — Where a user designates Generated Content as Private, Songai will not intentionally publish, distribute, stream, market, or commercially exploit such content except as reasonably necessary to provide the requested services.
PUBLIC CONTENT — Where a user designates Generated Content as Public, the user grants Songai a worldwide, non-exclusive, royalty-free licence to reproduce, display, stream, distribute, promote, market, monetise, and otherwise use such Generated Content in connection with the operation, promotion, and growth of the Platform and associated artist brands.
Where such settings are selected and technically supported, Songai will use commercially reasonable efforts to honour those preferences.
6. PROHIBITED USES
Users may not use the Platform or Generated Content to: infringe intellectual property rights; impersonate any person without consent; create unlawful, defamatory, discriminatory, or harmful material; generate deceptive deepfakes or unauthorised voice clones; violate privacy or publicity rights; train competing AI systems; reverse engineer the Platform; scrape or automate access without permission; or violate any applicable laws or platform policies.
Songai reserves the right to suspend or terminate accounts engaged in prohibited conduct.
7. VOICE, LIKENESS & PERSONALITY RIGHTS
Users must not upload or generate content that imitates another individual's voice, likeness, image, or identity without express authorisation from that individual.
By uploading voice or likeness-related materials, you warrant that: you own or control the relevant rights; and you have obtained all required permissions.
Songai accepts no liability for unauthorised user conduct.
8. PLATFORM TECHNOLOGY & THIRD-PARTY SERVICES
The Platform may utilise: proprietary technologies; licensed third-party systems; external APIs; generative audio systems; language models; cloud infrastructure; and evolving artificial intelligence technologies.
These technologies may be provided by third-party service providers, including but not limited to Google Cloud services such as Gemini, Lyria, Veo and related technologies, MusicGPT, and other successor providers.
User Submissions may be processed through such providers solely for the purpose of delivering the Platform's services.
Songai reserves the right to replace, modify, supplement, or discontinue any technology provider at any time without notice.
Songai does not guarantee: uninterrupted availability; compatibility; or continued access to any specific technology provider or generation method.
9. AI TRAINING & DATA USE
Songai does not use User Submissions or Generated Content to train proprietary foundation AI models owned by Songai.
Certain third-party providers may process content in accordance with their own terms of service, privacy policies, and data processing agreements.
Users acknowledge that AI providers may temporarily process submitted content to deliver requested services.
10. PAYMENTS & REFUNDS
All purchases are final unless otherwise required by applicable law.
Due to the personalised and digital nature of the Platform, refunds are generally not provided once content generation or delivery has commenced.
Songai reserves the right to: modify pricing; subscription structures; credits; usage limitations; or platform access at any time.
11. INTELLECTUAL PROPERTY
Except for: User Submissions; and applicable user rights in Generated Content, all Platform technology, branding, workflows, interfaces, software, designs, logos, systems, and related intellectual property remain the exclusive property of Songai Media FZ-LLC or its licensors.
Users may not: copy; reproduce; reverse engineer; or commercially exploit the Platform itself.
"The Songai", "Songai", associated logos, trademarks, and branding elements are proprietary intellectual property of Songai Media FZ-LLC.
12. STREAMING PLATFORM DISCLAIMER
Songai makes no guarantee that any Generated Content submitted for distribution will be accepted by Spotify, Apple Music, Amazon Music, YouTube Music, Deezer, Tidal, Pandora, or any other third-party platform.
Acceptance, availability, monetisation, ranking, promotion, and removal decisions remain solely at the discretion of those third-party platforms.
13. INTELLECTUAL PROPERTY COMPLAINTS
If you believe content available through the Platform infringes your intellectual property rights, please contact:
Your notice should include sufficient information to identify the allegedly infringing material and the basis of your claim.
Songai reserves the right to remove, restrict, disable access to, or investigate any content subject to a complaint.
14. DISCLAIMERS
The Platform and all Generated Content are provided "as is" and "as available".
Songai disclaims all warranties, whether express or implied, including: merchantability; fitness for purpose; non-infringement; availability; reliability; and accuracy.
Users acknowledge that: AI-assisted systems are experimental technologies; outputs may contain inaccuracies; Generated Content may resemble existing works; and Songai does not warrant that Generated Content will accurately reflect historical events, personal relationships, facts, names, dates, or user intentions.
Users are solely responsible for reviewing all Generated Content before publication, gifting, distribution, or commercial use.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Songai Media FZ-LLC, its officers, employees, contractors, affiliates, licensors, and partners shall not be liable for: indirect; incidental; consequential; punitive; or special damages, including: lost profits; lost business; reputational harm; or intellectual property disputes, arising from: use of the Platform; Generated Content; third-party claims; or technology failures.
Maximum aggregate liability shall not exceed the total amount paid by the user to Songai during the preceding six (6) months.
16. INDEMNITY
You agree to indemnify and hold harmless Songai Media FZ-LLC and its affiliates against any claims, liabilities, damages, losses, or expenses arising from: your User Submissions; your use of the Platform; your Generated Content; or your breach of these Terms.
17. PRIVACY & DATA
Use of the Platform is subject to the Songai Privacy Policy.
Users acknowledge that: prompts; usage patterns; metadata; and interaction data may be processed for operational, analytical, moderation, security, legal compliance, and service improvement purposes.
18. MODIFICATIONS
Songai may amend these Terms at any time.
Continued use of the Platform following any updates constitutes acceptance of the revised Terms.
19. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
